1. Service Agreement
These Terms of Service ("Terms") govern your use of Gardenside Holdings Ltd' professional business consulting services, including business consulting, admin & office support, payroll services, tech setup & integration, and workflow improvement. By engaging my services, you agree to be bound by these Terms.
2. Service Scope
Gardenside Holdings Ltd provides comprehensive business consulting services designed to optimize organizational performance and drive sustainable growth. My services include but are not limited to:
- Management and strategic consulting
- Admin & office support
- Payroll services
- Organizational structure and strategic planning
- Tech setup & integration
- Workflow improvement
3. Client Responsibilities
Clients are responsible for providing accurate and complete information necessary for service delivery. This includes timely access to relevant business data, personnel, and systems as required for project completion. Clients must also ensure authorized decision-makers are available for consultation and approval processes.
4. Confidentiality
Gardenside Holdings Ltd maintains strict confidentiality regarding all client information, business data, and proprietary processes. I put in place robust security measures to protect sensitive information and will not disclose client details to third parties without explicit written consent, except as required by law.
5. Payment Terms
Payment terms are established in individual service agreements. Standard payment is due within 30 days of invoice date unless otherwise specified. Late payments may incur additional charges. All fees are exclusive of applicable taxes, which will be added to invoices as required by law.
6. Intellectual Property
Methodologies, frameworks, and proprietary consulting tools developed by Gardenside Holdings Ltd remain our intellectual property. However, customized solutions, reports, and strategies developed specifically for clients become client property upon full payment, subject to our right to retain and use anonymized insights for future service improvement.
7. Limitation of Liability
Gardenside Holdings Ltd' liability is limited to the value of services provided under the specific engagement. We are not liable for indirect, consequential, or punitive damages. Our recommendations are based on information provided and industry best practices, and implementation results may vary based on factors beyond our control.
8. Service Modifications
Project scope modifications require written agreement from both parties. Additional services or significant scope changes may result in adjusted timelines and fees. We reserve the right to modify our service offerings and these Terms with reasonable notice to existing clients.
9. Termination
Either party may terminate services with written notice as specified in individual service agreements. Upon termination, clients remain responsible for payment of services rendered through the termination date. Confidentiality obligations survive termination indefinitely.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from my services shall be resolved through arbitration in London, United Kingdom, or in courts of competent jurisdiction in England and Wales.
